Acceptance of these Terms
These Terms of Use (“Terms”) govern access to and use of playpkup.com, including the beta-interest form. “PKUP,” “we,” “us,” and “our” mean PKUP LLC.
By accessing or using the website, or by submitting the beta-interest form, you agree to these Terms. If you do not agree, do not use the website or submit beta interest. If you use the website for an organization, you represent that you have authority to accept these Terms for that organization.
Who may use the site
You may use the general website only if you can form a binding agreement under applicable law and your use is lawful where you live.
The public PKUP beta-interest process is currently limited to adults who are 18 or older. By submitting the beta-interest form, you represent that you are at least 18. If you are under 18, do not submit the form. The form does not request a birth date and does not offer a parent or guardian consent process.
This 18+ limit is a requirement for the current public beta-recruitment process only. It does not state an age limit for any future PKUP product or service.
Current website and beta-interest purpose
The current website provides information about PKUP LLC, PKUP’s soccer-first product direction, and limited beta testing. It also lets adults express interest in possible beta participation.
The website does not currently provide a PKUP account, paid service, subscription, payment flow, public community, ranking, tournament, challenge, reward, venue-discovery, or public user-content system. These Terms do not govern use of an unreleased native app, collection of workout or Apple Health data through an app, or actual participation in a later beta. Separate terms or notices may apply before any such service is offered.
No guarantee of beta access or relationship
Submitting beta interest is an application only. It does not guarantee an invitation, response, selection, access date, duration of access, or access to any particular feature. PKUP may limit or change its selection process as testing needs evolve.
Applying or corresponding about beta interest does not create employment, partnership, joint-venture, agency, athlete-agent, sponsorship, endorsement, independent-contractor, or paid relationship between you and PKUP. It also does not obligate either party to enter a later agreement.
Website information, availability, and future direction
PKUP works to keep current website information useful and accurate, but content may be incomplete, become outdated, or contain errors. PKUP may change, pause, or remove website content without promising that any description will remain available.
The website may discuss product direction, ambition, experiments, or experiences PKUP is building toward. Those descriptions are not promises, offers, warranties, or commitments to release a feature, sport, platform, date, or commercial service.
PKUP is soccer-first today. References to Apple Watch and iPhone describe the current testing setup; they do not promise permanent platform exclusivity, permanent compatibility, or support for every model, operating-system version, or device configuration.
Acceptable use
You may not use the website to:
- Break the law, infringe another person’s rights, or facilitate harmful conduct
- Submit information you know is false, misleading, impersonated, or unauthorized
- Send spam, malware, abusive content, or automated form submissions
- Interfere with, overload, disable, or bypass the website or its security measures
- Probe or access nonpublic systems, data, accounts, or submission records without authorization
- Use automated means in a way that disrupts the site or beta-interest process
Ordinary browsing, sharing a public link, and search-engine indexing consistent with published technical controls are not prohibited by this section.
Intellectual property
The website and its text, design, graphics, logos, trademarks, and other content are owned by or licensed to PKUP and are protected by intellectual-property laws. Subject to these Terms, PKUP gives you a limited, revocable, nonexclusive, nontransferable permission to access and use the public website for personal, informational purposes.
You may not copy, modify, publish, sell, license, or commercially exploit PKUP website content without permission or a legal right to do so. “PKUP” and PKUP brand elements may not be used in a way that suggests authorization, sponsorship, or endorsement. Third-party names and marks belong to their respective owners.
Information submitted for beta interest
You keep any rights you have in information you submit. You authorize PKUP and the providers described in the Privacy Policy to receive, store, reproduce, review, and use that information only as reasonably needed to operate, protect, and administer the beta-interest process and communicate with you about possible participation.
You represent that your submission is accurate to the best of your knowledge, that you have the right to provide it, and that it does not violate another person’s rights. Do not submit confidential business information, trade secrets, health records, workout data, precise location or route data, financial information, or other sensitive information the form does not request.
A beta-interest response is not public content. PKUP will not use your name, statements, or identity in public marketing without separate permission.
Privacy
The PKUP Privacy Policy explains what the current website and beta-interest form collect, how PKUP uses and shares that information, the current retention approach, and how to make a privacy request.
These Terms do not expand the data practices described in the Privacy Policy. If these Terms and the Privacy Policy conflict about the handling of personal information, the Privacy Policy controls for that issue.
Third-party services and external links
PKUP uses Formspree to process beta-interest submissions. Formspree’s availability, security checks, or technical limits may affect whether a submission can be delivered. The Privacy Policy explains the current submission path and links to Formspree’s provider information.
The website may link to sites or services PKUP does not own or control. Those services may have their own terms and privacy practices. A link or reference does not by itself mean that PKUP endorses, sponsors, controls, or is affiliated with the third party, and PKUP is not responsible for third-party content or practices.
No professional, medical, or safety advice
Website descriptions about athletic participation, recording, performance information, or interpretation are general product information. They are not medical, healthcare, training, coaching, legal, or other professional advice; they are not a diagnosis or treatment recommendation; and they are not a safety certification or guarantee of performance analysis.
Do not rely on the website to make medical or safety decisions, respond to an emergency, or decide whether an activity, venue, device, or piece of equipment is safe for you. Seek appropriate professional advice and use your own judgment.
The current website does not organize, supervise, inspect, approve, or certify any game, venue, athlete, equipment, or activity described or depicted on the site.
Disclaimers
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” PKUP disclaims warranties that the website will be uninterrupted, error-free, secure, complete, accurate, current, or suitable for a particular purpose, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
These disclaimers do not affect warranties or consumer rights that applicable law does not allow PKUP to exclude.
Limitation of liability
To the fullest extent permitted by law, PKUP LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunity, lost data, or business interruption, arising from or related to the website, its content, the beta-interest process, or a third-party service linked to or used by the website.
This section applies regardless of the legal theory and even if PKUP was advised that such damages were possible. It does not limit liability for fraud, willful misconduct, gross negligence, or any other liability that applicable law does not allow PKUP to limit or exclude. These Terms do not impose a separate monetary cap on direct damages.
Restriction or suspension of site access
PKUP may restrict or suspend access to all or part of the website when reasonably necessary to address misuse, security risk, legal obligations, service maintenance, or conduct that violates these Terms. PKUP may also change or discontinue the website.
Restricting website access does not decide whether someone may participate in a later native-app beta under a separate agreement, except where the same conduct is relevant to safety, security, law, or trust.
Governing law and forum
These Terms are governed by the laws of the State of Connecticut and applicable United States federal law, without regard to conflict-of-laws rules. Subject to any rights or forums that applicable law does not allow the parties to waive, a legal action arising from or relating to these Terms or the current website must be brought in a Connecticut state court or the United States District Court for the District of Connecticut. You and PKUP consent to the personal jurisdiction and venue of those courts.
These Terms do not require arbitration and do not require either party to waive the right to participate in a class action.
Changes to these Terms
PKUP may update these Terms when the website, beta-interest process, operating practices, or legal requirements change. An updated version will identify its effective date. Changes apply prospectively from that date unless applicable law or an additional agreement requires another approach.
If a change materially affects how previously submitted personal information is used, PKUP will handle that change as described in the Privacy Policy rather than treating an updated Terms page as retroactive permission.
General terms
If a court finds part of these Terms unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms and any notices expressly incorporated into them are the agreement between you and PKUP about use of the current website. They do not replace a separate written agreement that may later govern native-app access or beta participation.
